Here's what you'll need to apply:

  • Full name and father’s name

  • Date of birth

  • Identity and address proof

  • PAN card copy

  • Two passport-size photos of each director

Apply through the Ministry of Corporate Affairs (MCA) website by filling out the DIN-1 Form. It’s a simple online application that costs just INR 100, and it’s typically processed within a day. Once you have your DIN, you’re on your way!

2. Get a Digital Signature Certificate (DSC)

Now that you have your DIN, it’s time to ensure the authenticity of your documents with a Digital Signature Certificate (DSC). Think of this as a verified electronic signature required for filing forms online during the company registration process.

Getting a DSC can range in cost from INR 800 to INR 5,999, depending on your business structure and how long you need it to last. As with the DIN, you can apply for a DSC through the MCA website and it typically takes two to three business days to process.

3. Register on the MCA Portal as a New User 

The following stage is to make an account on the MCA portal. This will allow you to access e-forms, pay fees, and complete transactions online. It’s free to create an account, so head to the portal and set it up. This account will be your hub for all things related to company registration.

4. File Your Charter Documents: MOA and AOA

Your company’s legal backbone lies in two key documents: the Memorandum of Association (MOA) and the Articles of Association (AOA).

  • Memorandum of Association (MOA): The MOA lays out all the essential info about your company—its purpose, powers, and how it interacts with the outside world. Once registered, the MOA is set in stone and can’t be changed, so make sure it reflects your business perfectly.

  • Articles of Association (AOA): The AOA spells out the internal rules, management policies, and bylaws. Unlike the MOA, it can be amended, giving your company some flexibility as it grows.

5. Reserve Your Company Name

Now get started with naming your company! You should choose a name that is unique and relevant to your business. The MCA has introduced the Reserve Unique Name (RUN) service, which lets you reserve a name before filing for full incorporation. The RUN service is only usable once, so double-check your proposed name to ensure it’s distinct and complies with naming guidelines. If rejected, you’ll have to reapply, which means extra time and fees.

6. Register Other Company Details

With the basics in place, it’s time to register some finer details, including your business address and appointing directors, a secretary, and a manager.

Fill out Form-1 on the MCA portal, providing at least four alternative names for your company. Once you’ve got that done, you’ll need to submit Form-18 and Form-32 for the address and appointments, respectively. This phase usually takes about eight to ten days as it goes through an approval process.

7. Get Your PAN and TAN

Last but not least, obtain your Permanent Account Number (PAN) and Tax Account Number (TAN). For TAN, which is also essential for tax filings, apply at the Income Tax Department. This process takes about a week and costs around INR 60.
